Legal Disclaimer

PLEASE READ CAREFULLY. Your access to and use of the Tero Carbon API ("API") and associated documentation ("Documentation") are subject to the following terms and conditions, in addition to the general Tero Carbon Terms of Service and Privacy Policy. By integrating with or using the API, you ("Integrator" or "Marketplace") acknowledge, agree to, and are bound by these terms.

Scope of Use and Purpose Limitation: The API is provided solely to allow Marketplaces to: (a) access data regarding projects and Verified Carbon Units (VCUs) held in their designated Tero Carbon custody account for the purpose of listing such VCUs on their platform; (b) notify Tero Carbon of specific internal transactions involving Tero Carbon VCUs occurring on the Marketplace's platform (Tokenization, Internal Transfer, Internal Retirement, Detokenization) via the reportTransaction endpoint; and (c) access publicly available data from the CAD Trust registry via the designated endpoints (getProjectList, getIssuanceList) strictly for internal auditing, informational, or prospective client analysis purposes. Any other use is strictly prohibited. Data obtained via CAD Trust endpoints DOES NOT grant the right to list or represent those assets on the Marketplace platform unless and until they are transferred into the Marketplace's Tero Carbon custody account according to Tero Carbon's official procedures.

No Financial, Investment, or Legal Advice: Tero Carbon is a certification body and registry, not a financial advisor, broker, or legal counsel. The Documentation and API access do not constitute financial, investment, trading, or legal advice. VCUs are subject to market risks, volatility, regulatory changes, and potential loss of value. Integrators and their end-users must conduct their own independent due diligence and consult with qualified professionals before engaging in any VCU transactions.

Asset Nature and Use: VCUs represent verified greenhouse gas emission reductions or removals (1 VCU = 1 tCO₂e). Their use for offsetting claims must comply with applicable standards, regulations, and Tero Carbon's policies, including the Asset Integrity Policy. Verified Carbon Stock Units (VCSUs) are distinct assets not intended for offsetting via this API. The Integrator is responsible for accurately representing the nature and appropriate use of VCUs to its end-users.
4.
Marketplace Responsibility and Operations: The Integrator is solely responsible for the development, operation, maintenance, security, and legality of its own platform, services, and internal tokenization systems. This includes:
Accurately representing VCU information obtained via the API.
Implementing robust security measures for its platform and API key.
Correctly managing the internal tokenization, transfer, and retirement/burning of VCU representations on its platform.
Accurately and timely reporting required transactions to Tero Carbon via the reportTransaction endpoint.
Ensuring its operations comply with all applicable laws and regulations.
Handling all interactions, support, and potential disputes with its own end-users.
Adhering strictly to the Tero Carbon chain of custody requirements, including the prohibition of exporting or transferring VCUs out of the Tero Carbon ecosystem except via the approved reportTransaction (Detokenization) process resulting in re-tokenization within a Tero Carbon account.
5.
No Warranties; "As Is": The API and Documentation are provided "as is" and "as available" without warranties of any kind, express or implied. Tero Carbon disclaims all warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or reliability. Tero Carbon does not guarantee that the API will be error-free, uninterrupted, or secure. Use of the API is at the Integrator's sole risk.
6.
Limitation of Liability: To the maximum extent permitted by law, Tero Carbon, its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to, damages for loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with:
The Integrator's use of or inability to use the API or Documentation.
Any conduct or content of any third party (including the Integrator's end-users) on or related to the Marketplace platform.
Errors, omissions, or inaccuracies in the data provided via the API or Documentation.
Operational errors, security breaches, or failures of the Marketplace's platform or internal systems.
End-user trading losses or other financial damages.
Failures or risks inherent in blockchain technology, smart contracts, or the Polygon network.
Any reliance placed by the Integrator or its end-users on the information obtained through the API, including CAD Trust data.
Delays, failures, or disapprovals in Tero Carbon's processing of notifications submitted via reportTransaction.
7.
Indemnification: The Integrator agrees to indemnify, defend, and hold harmless Tero Carbon, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
The Integrator's breach of this Legal Disclaimer, the Tero Carbon Terms of Service, or Privacy Policy.
The Integrator's use of the API or Documentation, including its platform operations and internal tokenization.
Any claims brought by the Integrator's end-users against Tero Carbon related to the Marketplace's services or VCU transactions facilitated by the Marketplace.
The Integrator's violation of any applicable law or regulation or the rights of any third party.
8.
Intellectual Property: Tero Carbon retains all rights, title, and interest in and to the API, Documentation, its trademarks, and underlying technology. The Integrator is granted a limited, non-exclusive, non-transferable, revocable license to use the API solely for the purposes outlined herein.
9.
Privacy: The Integrator's use of the API is subject to the Tero Carbon Privacy Policy, available at https://terocarbon.com/politica-de-privacidade/. The Integrator is responsible for its own compliance with data privacy laws regarding its end-users.
10.
Modification and Termination: Tero Carbon reserves the right to modify or discontinue the API, Documentation, or these terms at any time with reasonable notice where feasible. Continued use of the API after modifications constitutes acceptance. Tero Carbon may terminate or suspend an Integrator's access to the API for any violation of these terms or other Tero Carbon policies.
11.
Governing Law: This Disclaimer shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law principles. Any disputes shall be resolved in the competent courts of Manaus, Amazonas, Brazil.
